Introduction and Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of the VendorBoard AI platform, including all features, tools, content, and services made available through vendorboard.ai and any associated applications collectively, the "Platform". The Platform is operated by VendorBoard AI ("Company," "we," "us," or "our").
By registering for an account, accessing the Platform, or using any of its features, you ("User," "Buyer," or "Vendor") acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, you must not access or use the Platform.
Platform Description
VendorBoard AI is an AI-powered software vendor evaluation platform that facilitates structured procurement and vendor assessment processes. The Platform serves two distinct user types:
Buyers
Organizations or individuals seeking to evaluate, compare, and select software vendors for their specific business needs.
Vendors
Software companies or service providers who participate in buyer-initiated evaluation processes.
The Platform enables Buyers to define evaluation requirements, manage vendor shortlists, conduct structured assessments, score vendor performance, and generate recommendation reports. Vendors may participate in evaluation processes to which they have been specifically invited by a Buyer.
User Accounts and Registration
To access the Platform, you must create an account and provide accurate, current, and complete information including your name, email address, company information, and other requested details. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree to:
- Provide truthful and accurate registration information
- Keep your account information current and up to date
- Notify us immediately of any unauthorized use of your account
- Not share your account credentials with any third party
- Use the Platform only for lawful business purposes
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
Buyer-Specific Terms
4.1 Evaluation Setup and Requirements
As a Buyer, you may use the Platform to define software evaluation projects, specify technical and functional requirements, invite vendors to participate, conduct structured assessments, and generate reports and recommendations. You acknowledge that all evaluation criteria, scoring methodologies, and final vendor selections remain entirely at your discretion.
4.2 Buyer Contact and Evaluation Data
When using the Platform, Buyers provide certain information including but not limited to:
- Contact information including name, email, phone, company, and title
- Evaluation project details, timelines, and scope
- Technical requirements, use cases, and business priorities
- Budget ranges and procurement constraints
- Scoring criteria and weighted evaluation categories
- Post-demo feedback and vendor scores
You authorize VendorBoard AI to collect, process, and use this information solely to operate the Platform and facilitate your evaluation process. We do not sell, license, or otherwise share your evaluation data or contact information with any third party outside the Platform. See Section 6 for complete data sharing rules.
4.3 Vendor Invitations
Buyers are solely responsible for selecting which Vendors to invite to a given evaluation. By inviting a Vendor, you acknowledge that limited evaluation context will be shared with that Vendor as necessary to enable their participation. You retain full control over which Vendors are included in each evaluation project.
Vendor-Specific Terms
5.1 Participation in Evaluations
As a Vendor, you may only access and participate in evaluation processes to which you have been explicitly invited by a Buyer. Vendors may not access any evaluation, Buyer data, or information pertaining to other Vendors without explicit authorization through the Platform's invitation mechanism.
5.2 Vendor Information Submitted
Vendors may be required to submit information including company details, product capabilities, pricing information, references, and responses to Buyer evaluation criteria. By submitting this information, you authorize VendorBoard AI to share it with the specific Buyer who initiated the evaluation and with no other parties outside the Platform.
5.3 Vendor Conduct
Vendors agree not to:
- Attempt to access Buyer data beyond what is shared through the Platform for their specific evaluation
- Contact Buyers through any channel not established or sanctioned through the Platform for purposes of circumventing the evaluation process
- Misrepresent their products, services, or capabilities in evaluation submissions
- Attempt to access or obtain information about other Vendors participating in the same evaluation
Data Sharing, Confidentiality, and Information Boundaries
Information shared on VendorBoard AI stays within VendorBoard AI. Data shared by Buyers is only shared with their selected Vendors. Data shared by Vendors is only shared with the Buyer who invited them. No information is shared with third parties outside the Platform.
6.1 Buyer-to-Vendor Data Sharing
When a Buyer invites a Vendor to participate in an evaluation, the Platform shares only the information necessary to facilitate that Vendor's participation, including:
- Relevant evaluation requirements and criteria specific to the Buyer's project
- Demo request details and scheduling information
- Questions or discussion prompts submitted by the Buyer
This information is shared exclusively with the Vendors selected by the Buyer for that specific evaluation. It is not shared with any Vendors not invited to the evaluation, any other Buyers, or any third parties outside the Platform.
6.2 Vendor-to-Buyer Data Sharing
Information submitted by a Vendor through the Platform in connection with an evaluation is shared exclusively with the Buyer who initiated that evaluation. This includes:
- Product and capability responses to evaluation criteria
- Pricing and commercial information submitted during the process
- Demo content, presentations, or supplementary materials submitted through the Platform
Raw Vendor submissions, demo recordings, and original Vendor-authored content are not shared with competing Vendors, other Buyers, or any third parties outside the Platform. Vendor names, scores, and VendorBoard AI-generated analysis may be shared with other participating Vendors in the same evaluation where the leaderboard feature is enabled on eligible plans, as described in Section 6.5.
6.3 Strict No External Sharing Policy
VendorBoard AI maintains a strict no external sharing policy. We will not:
- Sell, rent, or lease Buyer or Vendor data to third parties
- Share evaluation data, requirements, or scoring information with any party not directly involved in the specific evaluation
- Use Buyer evaluation criteria or requirements for any commercial purpose outside of operating the Platform for that Buyer
- Share raw Vendor submissions, demo recordings, or original Vendor-authored content with data brokers, aggregators, or competing Vendors
- Disclose identifiable Buyer or Vendor information to advertisers or marketing platforms
Exceptions to this policy exist only where required by law, such as a valid court order or regulatory requirement, in which case we will notify affected users to the maximum extent permitted by applicable law.
6.4 Aggregated and Anonymized Data
VendorBoard AI may use aggregated, de-identified, and anonymized data derived from Platform usage to improve our services, develop new features, and generate general industry benchmarks. Such data cannot be used to identify individual Buyers, Vendors, or specific evaluations.
6.5 Comparative Leaderboard and AI-Generated Analysis Visibility
VendorBoard AI offers a comparative leaderboard feature available to Vendors on eligible paid subscription plans. When this feature is active for a given evaluation, participating Vendors in that evaluation may be able to view:
- The names of other Vendors participating in the same evaluation
- Each participating Vendor's evaluation scores
- AI-generated analysis produced by VendorBoard AI summarizing each Vendor's evaluated performance
The following information remains strictly private and is never disclosed to other Vendors under any circumstances, including through the leaderboard feature:
- A Vendor's raw submissions, original written responses, or any content directly authored by the Vendor
- Demo recordings or presentation materials submitted by a Vendor
- Proprietary pricing details, commercial terms, or confidential product information submitted during the evaluation
By registering on the Platform and participating in an evaluation, Vendors acknowledge and consent that their company name, evaluation scores, and VendorBoard AI-generated analysis may be visible to other Vendors participating in the same evaluation where the leaderboard feature is enabled on eligible plans. Vendors who do not wish to participate under these visibility terms should not join evaluations where this feature is active.
Intellectual Property
VendorBoard AI and its licensors own all intellectual property rights in the Platform, including the AI evaluation engine, scoring algorithms, report templates, and underlying technology. Nothing in these Terms grants you any ownership rights in the Platform or its technology.
Buyers retain ownership of their evaluation requirements, criteria, and scoring data. Vendors retain ownership of their submitted product information, presentations, and materials. By using the Platform, each party grants VendorBoard AI a limited, non-exclusive license to process and display their content solely as necessary to operate the Platform and deliver the services described herein.
Publicity and Marketing Rights
By using the VendorBoard AI Platform, whether as a Buyer or as a Vendor participating in an evaluation, you grant VendorBoard AI the right to identify you as a customer or participant and to reference your company name, logo, and general use of the Platform in our marketing and promotional materials.
This right includes but is not limited to:
- Case studies and success stories featuring your evaluation experience or outcomes
- Customer testimonials and quotes attributed to your company
- Named mentions in press releases, blog posts, website content, and social media
- Inclusion in customer lists, partnership announcements, and investor materials
- References in sales presentations, pitch decks, and conference materials
This right applies to all users of the Platform including Buyers who initiate evaluations and Vendors who participate in them. VendorBoard AI will not disclose any confidential evaluation data, scores, or proprietary business information as part of any publicity activity without your separate written consent.
If you wish to opt out of any or all publicity use, you may do so by submitting a written request to contact@vendorboard.ai. Opt-out requests will be honored within 14 business days of receipt and will apply on a going-forward basis. Any publicity materials published prior to receipt of your written opt-out request are not subject to retroactive removal unless separately agreed in writing.
Prohibited Conduct
You agree not to use the Platform to:
- Violate any applicable law, regulation, or third-party rights
- Attempt to reverse engineer, scrape, or extract data from the Platform through automated means
- Circumvent security controls or access controls within the Platform
- Submit false, misleading, or fraudulent information
- Harass, threaten, or intimidate other users
- Transmit viruses, malware, or other harmful code
- Attempt to gain unauthorized access to other users' accounts or data
- Use the Platform for any purpose other than legitimate software vendor evaluation
Disclaimers and Limitation of Liability
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. VendorBoard AI does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.
VendorBoard AI is not responsible for the accuracy of Vendor submissions, Buyer requirements, or any decisions made based on evaluations conducted through the Platform. All procurement decisions are the sole responsibility of the Buyer.
To the maximum extent permitted by applicable law, VendorBoard AI's liability to you shall not exceed the greater of (a) the fees paid by you in the three months preceding the claim or (b) $100 USD.
Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or a prominent notice on the Platform. Continued use of the Platform after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Platform.
Termination
You may terminate your account at any time by contacting us at support@vendorboard.ai. We may suspend or terminate your access to the Platform for violation of these Terms, fraudulent or harmful behavior, or for any business reason upon reasonable notice.
Upon termination, your right to access the Platform ceases. We will handle your data in accordance with our Privacy Policy and applicable data retention laws.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration conducted in Austin, Texas, in accordance with the American Arbitration Association Commercial Arbitration Rules.
