2. Description of Service

Vendorboard provides an AI-powered software evaluation and RFP platform that facilitates vendor discovery, demo collection, evaluation scoring, and decision intelligence.

3. User Roles

The Platform supports the following user roles:

• Buyers: Organizations evaluating software
• Vendors: Software providers participating in evaluations

You are responsible for all activity conducted under your account.

4. Use of AI

You acknowledge that Vendorboard uses AI systems to generate recommendations, summaries, and scores. These outputs are advisory only and do not constitute professional, legal, or financial advice.

5. Data Ownership

You retain ownership of all content you upload. By using the Platform, you grant Vendorboard a non- exclusive license to process this data for service delivery.

6. Confidentiality

We implement reasonable safeguards to protect confidential information but cannot guarantee absolute security.

7. Prohibited Use

You may not:

• Upload malicious or illegal content
• Attempt to reverse engineer the platform
• Misrepresent your identity

8. Fees

Certain features may require payment. All fees are non-refundable unless otherwise stated.

9. Termination

We reserve the right to suspend or terminate accounts for violations of these Terms.

10. Limitation of Liability

Vendorboard is not liable for business decisions made using the Platform.

11. Governing Law

These Terms are governed by the laws of the State of Texas.
